Fees in USD per SOW. 30-day payment terms. 1.5% monthly late charge. You pay applicable taxes.
Both parties maintain confidentiality. Information used only for this Agreement with reasonable care.
Professional performance warranty and 90-day Deliverable conformance. EXCEPT AS STATED, SERVICES "AS IS."
No indirect or consequential damages. Liability capped at 12 months fees. Exceptions for confidentiality and IP.
We indemnify you for IP claims on our Deliverables. You indemnify us for Terms violations.
30-day convenience termination. Immediate termination for uncured material breach.
Ohio law. 30-day negotiation then binding arbitration in Quincy, Ohio.
No illegal content, unauthorized access, or malicious code.
Not responsible for third-party content.
No liability for delays beyond control. 60-day limit allows termination.
Supersedes prior agreements. Invalid provisions don't affect others.
We may modify Terms. Changes effective on posting. 15-day notice for material changes.
